Terms of Service

1. Agreement

These Terms of Service (the “Terms”) govern your access to and use of the ID Agents website and documentation (“ID Agents” or the “Site”), operated by ID Chain (“ID Chain”, “we”, “our”, or “us”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

2. The Service

ID Agents is open-source multi-agent orchestration software. The Site provides project information, documentation, and links to source code through idagents.ai and related subdomains.

3. Beta status

The Site and project documentation may change over time. This means, without limitation:

  • Features may change, break, or be removed without notice.
  • Documentation may be incomplete, outdated, or inaccurate.
  • There is no service-level agreement (SLA), uptime guarantee, or support guarantee.

4. Eligibility

You must be at least 18 years old and able to form a binding contract under applicable law. We reserve the right to restrict access to the Site for activity that we believe violates these Terms.

5. Acceptable use

You agree not to use the Service to:

  • Violate any law, regulation, or third-party right.
  • Build, deploy, or distribute content that is unlawful, harassing, defamatory, sexually explicit involving minors, or that infringes intellectual property.
  • Send spam, run unsolicited mass communications, or attempt to gain unauthorized access to any system.
  • Use the Site to develop competing offerings by scraping, reverse-engineering, or circumventing rate limits and access controls.
  • Submit personal data (PII) of third parties without lawful basis, or upload data that you do not have the right to use.
  • Attempt to disrupt, overload, or probe the Site or its underlying infrastructure beyond normal good-faith use.

6. Your content

You retain ownership of content you submit to us through the Site, if any (“User Content”). You grant ID Chain a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, and process User Content as needed to operate, secure, and improve the Site. You are responsible for the legality of your User Content.

7. Third-party services

The Site may rely on third-party providers, such as hosting, analytics, or source-control services. Their availability and policies are outside our control.

8. Fees & billing

The Site is currently provided without subscription billing. We may introduce paid offerings in the future under separate terms.

9. Termination

You may stop using the Site at any time. We may suspend or terminate access at our discretion, including for breach of these Terms, abuse, or security risk.

10. Disclaimer of warranties

The Site is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. AI agent outputs may be incorrect, biased, or harmful; you must independently verify outputs before relying on them.

11. Limitation of liability

To the maximum extent permitted by law, ID Chain and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Site. Our total aggregate liability for any claim relating to the Site is limited to the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) US$50.

12. Indemnification

You agree to indemnify and hold harmless ID Chain and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your User Content, your violation of these Terms, or your violation of any third-party right.

13. Changes to these Terms

We may update these Terms from time to time. If a change is material we will post a notice on the Site. Your continued use of the Site after the effective date constitutes acceptance of the updated Terms.

14. Governing law & disputes

ID Chain is incorporated in the State of Delaware, United States. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. The exclusive forum for any dispute arising out of or relating to these Terms or the Service is the state and federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts, except where applicable law gives you the non-waivable right to bring a claim in your local courts.
