Terms of Service

1. Agreement

These Terms of Service (the “Terms”) govern your access to and use of the ID Agents platform (“ID Agents” or the “Service”), operated by ID Chain (“ID Chain”, “we”, “our”, or “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

ID Agents is a multi-agent orchestration platform that lets you draft, deploy, and run AI agents backed by third-party model providers. The Service is provided through idagents.ai and related subdomains.

3. Beta status

The Service is currently in beta. This means, without limitation:

  • Features may change, break, or be removed without notice.
  • Agents may stop working, restart, lose state, or be paused or deleted at any time.
  • Knowledge documents, deployment history, logs, and other user data may be lost, corrupted, or rolled back. Keep your own backups of anything you cannot afford to lose.
  • There is no service-level agreement (SLA), uptime guarantee, or support guarantee.
  • Pricing, free quotas, model availability, and runtime capacity may change at any time, including retroactively for active accounts.

4. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract under applicable law. You are responsible for keeping your account credentials secure and for all activity under your account. We reserve the right to suspend or terminate accounts that we believe violate these Terms.

5. Acceptable use

You agree not to use the Service to:

  • Violate any law, regulation, or third-party right.
  • Build, deploy, or distribute content that is unlawful, harassing, defamatory, sexually explicit involving minors, or that infringes intellectual property.
  • Send spam, run unsolicited mass communications, or attempt to gain unauthorized access to any system.
  • Use the Service to develop competing offerings by scraping, reverse-engineering, or circumventing rate limits and access controls.
  • Submit personal data (PII) of third parties without lawful basis, or upload data that you do not have the right to use.
  • Attempt to disrupt, overload, or probe the Service or its underlying infrastructure beyond normal good-faith use.

6. Your content

You retain ownership of the content you submit to the Service, including knowledge documents and agent configurations (“User Content”). You grant ID Chain a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, and process User Content as needed to operate, secure, and improve the Service. You are responsible for the legality of your User Content and for backing it up.

7. Third-party services

The Service relies on third-party providers (for example, model providers, cloud infrastructure, email, and payment processors). Their availability and policies are outside our control. By using ID Agents you also agree to comply with the terms of any third-party services you direct us to call on your behalf, including any usage limits, content policies, and pricing.

8. Fees & billing

The Service may be free, paid, or both at different times. While the Service is offered free of charge during beta, we reserve the right to introduce, change, or remove paid plans at any time. When billing is enabled, you are responsible for the fees and applicable taxes for the plan you choose. Charges are non-refundable except where required by law.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access at our discretion, including for breach of these Terms, abuse, security risk, or extended inactivity. On termination, your access ends and we may delete your User Content; export anything you need to keep before terminating.

10. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. AI agent outputs may be incorrect, biased, or harmful; you must independently verify outputs before relying on them.

11. Limitation of liability

To the maximum extent permitted by law, ID Chain and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service. Our total aggregate liability for any claim relating to the Service is limited to the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) US$50.

12. Indemnification

You agree to indemnify and hold harmless ID Chain and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your User Content, your violation of these Terms, or your violation of any third-party right.

13. Changes to these Terms

We may update these Terms from time to time. If a change is material we will post a notice on the Service or send an email. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing law & disputes

ID Chain is incorporated in the State of Delaware, United States. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. The exclusive forum for any dispute arising out of or relating to these Terms or the Service is the state and federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts, except where applicable law gives you the non-waivable right to bring a claim in your local courts.
